1. Services

KSA provides online business identity services to U.S. companies, specifically helping businesses obtain a D-U-N-S® Number (or related identity verification services) (the “Services”). You select one of KSA’s packages and KSA will perform the service described in the package.

2. Acceptance of Terms

By placing an order through KSA’s website or payment system (via third-party processor such as Stripe or PayPal), you (“Client,” “you,” “your”) agree to these Terms & Conditions and any service-specific terms shown at the time of purchase.

3. Client Eligibility & Representations

  • Services are available only to businesses that are legally registered in the United States.

  • You represent that you are authorized to act on behalf of the business to which the service applies.

  • You agree to provide accurate, complete and timely business information necessary for KSA to perform the Services.

  • You understand that KSA’s ability to perform the Services depends on the accuracy of the information you provide.

4. Packages, Pricing & Payment

  • KSA offers three service packages:

    1. Basic Package – $99: KSA walks you through the registration process.

    2. Standard Package – $199: KSA processes the application.

    3. Premium Package – $299 (KSA service) + $229 (D&B expedited fee) = total $528: KSA performs full service with expedited fee paid to D&B or its designee.

  • Payment is due in full at time of checkout or order placement.

  • Payment will be made through a third-party processor such as Stripe, Square, PayPal, Cash App, Zelle or Venmo. Debt cards are also accepted.

  • You may have the option to make partial payments via the third-party processor, subject to the processor’s terms.

  • Fees are non-negotiable unless expressly agreed in writing by KSA.

5. Scope of KSA’s Service & Client Obligations

  • KSA will perform the work described in the selected package, using commercially reasonable efforts to complete it.

  • You agree to supply all required business data and respond to KSA’s requests in a timely manner.

  • If you provide incorrect information and KSA submits it on your behalf resulting in denial or delays, KSA is not responsible for the outcome, and such event will not entitle you to a refund.

  • KSA does not guarantee that the ultimate issuer (for example Dun & Bradstreet) will approve the application or expedite as promised. Approval is subject to that issuer’s criteria. (See section 10 “Disclaimer of Warranties”.)

6. Cancellations & Rescheduling

  • Because KSA’s Services begin immediately upon order (including gathering information, preparation of the submission), you may request to cancel or withdraw within 24 hours of payment for a full refund (see Refund Policy for details).

  • After 24 hours but within 48 hours of payment, if KSA has not yet submitted your business information, you may request cancellation and receive a 50% refund.

  • After submission of your business information to the third-party issuer, you are not entitled to any refund.

8. Use of Your Information & Confidentiality

  • KSA will use the business information you provide in order to perform the Services.

  • You grant KSA the right to access, submit, and update that business information as necessary.

  • KSA will keep your information confidential except where disclosure is required by law, or where you consent.

  • You remain responsible for maintaining the accuracy of your business information and notifying KSA of any changes.

9. Intellectual Property

  • All materials created by KSA (including e-books, templates, instructions) remain the property of KSA unless otherwise agreed.

  • You may not reproduce, distribute or publicly display KSA’s proprietary materials without KSA’s prior written consent.

10. Disclaimer of Warranties & Limitation of Liability

  • TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KSA PROVIDES THE SERVICES “AS IS” AND MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY.

  • KSA does not guarantee that your business will receive a D-U-N-S® Number or sure eligibility for contracts or funding. Such outcomes depend on external variables beyond KSA’s control.

  • IN NO EVENT WILL KSA’S LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICES. KSA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify, defend and hold harmless KSA and its officers, employees and agents from any claims, damages, liabilities, costs or expenses (including attorney’s fees) arising out of (a) your violation of these Terms, (b) your inaccurate business information, or (c) your use of the Services.

12. Non-Disparagement

You agree that you will not make or publish any negative or disparaging remarks (oral or written) about KSA, its officers, directors, employees, agents or services, including social media or public forums, following use of the Services. You further agree that KSA will not make any disparaging remarks about you or your business.

13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Texas.

  • Any dispute arising under or related to these Terms shall be resolved solely through binding arbitration in [Insert county/city], Texas, in accordance with the rules of the American Arbitration Association (or other designated arbitration body).

  • You and KSA each waive the right to have any dispute brought or maintained as a class or collective action.

14. Amendment & Severability

  • KSA may modify these Terms at any time by posting a revised version at its website or sending notice. Changes will be effective when posted or notified.

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Refund Policy for Knight, Sullivan & Associates

1. Scope

This Refund Policy applies to the purchase of the Services from KSA. By purchasing you agree to this Policy.

2. Full Refund Window

You may request a full refund of the amount paid if you cancel your order within 24 hours of payment and before any business information has been submitted on your behalf.

3. Partial Refund Window

If you request cancellation between 24 hours and 48 hours after payment, and KSA has not yet submitted your business information to the issuer (e.g., D&B), you are eligible for a 50% refund of the amount you paid.

4. No Refunds

No refunds will be granted in the following cases:

  • If KSA has submitted your business information to the issuer.

  • If submission is made and the issuer denies the application because of inaccurate or incomplete business information you provided.

  • If you provided wrong or misleading information and KSA submitted based on your information.

  • If your business is not legally registered in the United States.

5. How to Request a Refund

To request a refund, you must email KSA at KnightSullivanAssociates@gmail.com within the applicable refund window, including your order number, payment method, and reason for cancellation. Refunds will be issued to the original payment method used for the purchase, subject to any third-party processor or payment gateway policies.

6. Processing Time

Once your refund request is approved, KSA will initiate the refund, and you should expect it to appear on your payment method within the timeline dictated by the payment processor (typically 5-10 business days). KSA is not responsible for delays caused by the payment processor.

7. Modifications

KSA may modify this Refund Policy at any time by updating this document. The version published at the time of your purchase will govern your purchase.
